Here at Osborne, we’re delighted to be partnered with one of Ireland’s major semi-state organisations which is looking to expand its Corporate Governance and Company Secretarial team with the addition of two new professionals.As a key member of this team, you will support the Company Secretary in providing services to the board, sub-committees and management committees. You will have a key role in ensuring governance requirements are met, that information transfer between the Senior management and committees is highly accurate and relevant, and will play a part in induction, mentoring and professional development activities.Role and responsibilities
The successful candidates can expect to deal with the following matters, among others:
- Scheduling board and committee meetings, preparing agendas, meeting papers, reports and minutes.
- Advising on Corporate Governance matters, maintenance of governance records and logs, and drafting of governance policies and procedures.
- Training and development activities to ensure colleagues are kept up to date on developments in the area of governance.
- Preparation and drafting of annual reports, including collaborating with linked working groups and external agencies.
- Ensuring the efficacy of the board and sub-committees through regular reviews.
- Updating governance sections of customer facing media.
Candidate Characteristics
You should apply if you have all or most of the below characteristics:
- A level 9 degree or equivalent professional qualification.
- Studying towards or have completed a Chartered Governance qualification.
- Knowledge of the relevant legal, statutory and regulatory requirements.
- Experience dealing with company secretarial matters in an established organisation.
- Excellent communication and negotiation skills with a strong stakeholder focus and the ability to develop strong relationships at Board level and all other levels in a professional environment.
