We’re looking for an experiencedCompany Secretary (with responsibilities similar to an Assistant Company Secretary or In-house Paralegal) who is fluent in English and German to join the Dynatrace Legal Team.Learn howAbout DynatraceDynatrace exists to make software work perfectly. This enables innovators to modernize and automate cloud operations, deliver software faster and more securely, and ensure flawless digital experiences.Ihre AufgabenYour role at DynatraceThis position is a non-lawyer role that will provide corporate support for Dynatrace subsidiaries around the world, with a focus on the EMEA and APAC regions. The role will work closely with colleagues in Legal, Finance (Tax, Accounting, Treasury), People & Culture (HR), and other functions.Key responsibilities will include:

  • Overseeing and managing aspects of global subsidiary compliance and document management, including co-administrating Dynatrace’s entity management system and other corporate records and coordinating periodic filings, reports and registrations.
  • Drafting, reviewing and coordinating documents related to subsidiaries, including formation documents, board and shareholder meeting minutes, resolutions and consents, Powers of Attorney (POA), and other corporate governance documents.
  • Assisting with requests from customers, suppliers, employees, and others for legal entity-related information and documentation.
  • Coordinating approvals, signatures, notarizations, and legalizations of documents.
  • Liaising with and managing outside local advisors and agents for subsidiary governance matters.
  • Monitoring and tracking legal and regulatory changes affecting the company’s subsidiaries.
  • Coordinating across the company to drive efficiencies and implement more standardization and automation for repeatable processes and requests.
  • Supporting other corporate and compliance initiatives, as requested.
  • Supporting Legal Operations projects and initiatives, as requested.

Ihr ProfilWhat will help you succeedMinimum requirements

  • Bachelors’ degree or a paralegal certificate (or equivalent experience)
  • Previouscorporate experience, ideally with subsidiary/entity management at a law firm or publicly traded company

Preferred skills

  • Strong project management, organizational, and communications skills and attention to detail
  • Collaborative, able to strategically plan, work cross-functionally, consensus build, multi-task, and be a team player
  • Familiarity with DocuSign, Adobe Acrobat Pro, Sharepoint, Visio, and subsidiary management and other legal department tools

Wir bietenDue to legal reasons, we are obliged to disclose the minimum salary for this position, which is €60,000 gross per year based on full-time employment.
