In this key role, you will be the legal cornerstone for our business, working closely with internal business teams and external partners, including clients and legal firms, to ensure the secure and compliant origination of debt facilities for small and medium enterprises.Your deep expertise in European legal frameworks, particularly in SME lending, combined with exceptional attention to detail and outstanding communication skills, will ensure smooth, efficient transactions that align with our regulatory and business needs. Collaboration across departments and a thorough understanding of the nuances in SME lending will be crucial for success in this role.Your Focus:
- Primary Liaison: Act as the primary liaison between CapitalBox and external legal firms, ensuring efficient and seamless origination of debt facilities for SMEs.
- SME Debt Origination: Oversee the diligent origination of debt facilities tailored for small and medium enterprises, ensuring full compliance with relevant legal and regulatory requirements.
- Legal Research and Analysis: Conduct comprehensive legal research and analysis to support debt origination activities specifically aimed at SMEs, with a focus on localized regulations affecting small businesses.
- European SME Lending Legal Landscape: Develop and maintain a deep understanding of the legal and regulatory environment across European countries, particularly in SME lending and securitization law.
- Cross-functional Collaboration: Collaborate closely with internal departments, including business units, finance, risk, and compliance, to ensure alignment on debt origination processes and regulatory requirements specific to SMEs.
- Document Review: Review and assess legal documents and agreements produced by external legal partners related to SME debt origination.
- Regulatory Compliance: Address pertinent legal and regulatory questions in SME lending with external legal firms and internal stakeholders.
- Expert Legal Advice: Provide expert legal advice on SME debt origination matters to senior management and other key decision-makers.
- Regulatory Monitoring: Monitor and communicate changes in laws and regulations affecting SME lending to internal teams, ensuring proactive compliance.
- Documentation Accuracy: Ensure all legal documentation is accurate, complete, and compliant with applicable laws, with a focus on SME loan agreements and securitization.
- Process Improvement: Continuously improve debt origination processes and procedures for better servicing the SME sector.
- Professionalism Under Pressure: Maintain professionalism and composure in high-pressure situations, especially when facing tight deadlines related to SME lending transactions.
Your background:
- M. degree or equivalent legal degree from a recognized institution.
- Valid legal qualification and ability to practice law in at least one European jurisdiction.
- Minimum of 10 years of experience in a legal role, with a focus on debt origination or related areas.
- Extensive experience in the origination and structuring of complex secured debt products/facilities.
- Strong knowledge of the legal and regulatory landscape in European countries, particularly in relation to debt facilities.
- Exceptional attention to detail and strong analytical skills.
- Excellent communication and interpersonal skills, with the ability to interact effectively with internal and external stakeholders.
- Proven ability to align and collaborate with cross-functional teams.
- High level of integrity, professionalism, and ethical standards.
- Ability to manage multiple tasks and projects simultaneously in a fast-paced environment.
- Fluency in English is required; fluency in Multiple European Languages is preferred.
- Experience working in the banking or financial services industry.
- Proficiency in legal research tools and Microsoft Office Suite.
